Terms of Service

1. Acceptance of Terms

By creating an account or using any part of the NodeSyn service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are using NodeSyn on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

NodeSyn is a cloud-based infrastructure monitoring platform that allows users to monitor servers, endpoints, and network devices through lightweight Windows agents. The service includes a web dashboard, alerting system, historical analytics, and remote management capabilities.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where possible.

3. Account Registration

To use NodeSyn you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account
• Not share your account with others or create multiple accounts

4. License and Permitted Use

Subject to these Terms and payment of applicable fees, NodeSyn grants you a limited, non-exclusive, non-transferable license to:

• Access and use the NodeSyn web dashboard
• Install and run NodeSyn agents on the number of nodes permitted by your plan
• Use NodeSyn solely for your own internal business or personal monitoring purposes

Your license key is tied to your subscription. License keys must not be shared, resold, or transferred without our written permission.

5. Prohibited Uses

You must not use NodeSyn to:

• Monitor systems you do not own or have explicit permission to monitor
• Violate any applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract the source code of NodeSyn
• Resell, sublicense, or redistribute NodeSyn without authorization
• Introduce malware, viruses, or malicious code into the service
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the service in a way that could harm or overload our infrastructure

6. Subscriptions and Billing

NodeSyn is offered as a subscription service. By subscribing you agree to the following:

• Your subscription renews automatically at the end of each billing period
• You authorize us to charge your payment method on each renewal date
• Prices may change with 30 days advance notice to your registered email
• All fees are in USD and are exclusive of applicable taxes
• Taxes are calculated and collected by Lemon Squeezy as our payment processor

7. Free Trial

We offer a 14-day free trial on all plans. No payment information is required to start your trial. At the end of the trial period, you may choose to subscribe to a paid plan. If you do not subscribe, your account and data will be retained for 30 days before deletion.

8. Data and Privacy

Your use of NodeSyn is also governed by our Privacy Policy. By using NodeSyn you consent to the data practices described in that policy.

You retain ownership of all monitoring data generated by your infrastructure. We do not claim ownership of your data. We will not access your monitoring data except to provide the service, troubleshoot issues at your request, or as required by law.

9. Service Availability

We aim to provide a reliable service but cannot guarantee 100% uptime. We will make reasonable efforts to provide advance notice of planned maintenance. We are not liable for losses caused by service interruptions, data loss, or other service failures except where required by law.

10. Intellectual Property

NodeSyn and all related software, trademarks, logos, and content are the property of NodeSyn. Nothing in these Terms grants you any rights to use our intellectual property except as explicitly stated in your license.

11. Limitation of Liability

Our total liability to you for any claim arising from these Terms or the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Termination

Either party may terminate these Terms at any time. We reserve the right to suspend or terminate your account immediately if:

• You violate any of these Terms
• You engage in fraudulent or illegal activity
• Your payment fails and is not resolved within 7 days
• We are required to do so by law

Upon termination, your license to use NodeSyn ends immediately and your data will be deleted within 90 days.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of NodeSyn after the effective date constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by applicable international software licensing standards. Any disputes shall be resolved through good-faith negotiation. If we cannot reach resolution, disputes shall be submitted to binding arbitration.
